1. Who these terms apply to
Miser is built for accountants, accounting firms, tax agents, bookkeepers, and businesses that manage Kenyan tax and bookkeeping workflows. By creating an account, accessing the dashboard, or using any client portal link, you agree to these Terms.
If you use Miser on behalf of a firm, client, or other entity, you confirm that you are authorised to bind that entity and to upload, process, review, and share the relevant tax, accounting, payroll, invoice, payment, and client records.
2. What Miser provides
Miser provides software tools for client management, document collection, document search, working-paper compilation, AI-assisted review, reminders, billing access checks, PAYE/VAT support, WHT invoice deductions, and eTIMS/OSCU invoice workflows.
Miser is a workflow and preparation platform. It does not replace professional judgment, does not act as your accountant, and does not automatically file tax returns unless a future feature expressly says so and you separately approve it.
3. Accountant responsibility
You remain responsible for reviewing source documents, calculations, working papers, invoices, tax positions, filing decisions, client communications, KRA submissions, eTIMS submissions, statutory deadlines, and final professional advice.
AI outputs, parsed documents, calculated tables, reminders, and generated reports are assistive tools only. You must verify them before relying on them or sending them to clients, KRA, banks, auditors, or other third parties.
4. Client data and authority
You must have a lawful basis and any required client authority before uploading client data or using integrations that check KRA PIN details, taxpayer obligations, tax compliance information, eTIMS details, invoices, bank statements, M-Pesa statements, payroll records, or other sensitive business records.
You are responsible for ensuring that client portal links are sent only to intended recipients and that client users understand what information they are submitting.
5. eTIMS, KRA, GavaConnect, and third-party services
Where Miser connects to KRA-related, GavaConnect, OSCU/eTIMS, payment, email, Google, storage, AI, parsing, hosting, or database providers, those providers may have their own terms, outages, review processes, rate limits, certification requirements, and compliance duties.
Miser may help prepare, register, submit, or display OSCU/eTIMS data, but you remain responsible for confirming that seller profiles, item catalogues, invoice numbers, tax codes, stock movements, credit notes, and receipts are correct and authorised.
6. Accounts, security, and acceptable use
You must keep login credentials, API keys, OAuth connections, client portal links, and device credentials secure. Tell us promptly if you suspect unauthorised access.
You must not use Miser to break the law, evade tax, submit false information, interfere with the service, scrape the platform, bypass billing, attack third-party systems, upload malware, or process data you are not authorised to process.
7. Billing and subscriptions
Paid features may be billed per accountant account, per active client, per usage tier, or by another plan shown in the product or agreed with you. Charges, billing cycles, trials, taxes, and renewal terms are shown during checkout or in your account settings.
If payment fails, if no valid payment method is available, or if an account is outside its paid period, Miser may restrict paid workflows such as client servicing, AI review, compilation, notifications, eTIMS actions, or document processing until payment is resolved.
8. Availability and changes
We aim to keep Miser reliable, but the service may be interrupted by maintenance, provider outages, KRA sandbox or production downtime, internet failures, security events, or upgrades.
We may change features, integrations, pricing, or these Terms as the product evolves. If changes materially affect your rights or obligations, we will take reasonable steps to notify you.
9. Intellectual property
Miser, its software, design, workflows, brand assets, and documentation belong to us or our licensors. You retain rights in your firm data, client data, uploaded documents, generated working papers, and business records.
You grant Miser the limited permission needed to host, process, transmit, transform, display, and back up your content so the service can work.
10. Disclaimers and limitation of liability
Miser is provided on an “as is” and “as available” basis to the extent permitted by law. We do not guarantee that every document parse, AI output, third-party API response, KRA response, tax calculation, or reminder will be error-free.
To the extent permitted by applicable law, we are not liable for indirect, consequential, special, exemplary, or punitive damages, lost profits, missed deadlines, tax penalties, rejected filings, or losses caused by incorrect inputs, unauthorised use, third-party outages, or unreviewed outputs.
11. Governing law
These Terms are governed by the laws of Kenya. Kenyan courts or other competent dispute-resolution bodies in Kenya will have jurisdiction, unless mandatory law requires otherwise.
